The second edition of The Hong Kong Common Law Practical Training Course, co-organised by the Supreme People’s Court of the People’s Republic of China and the Hong Kong International Legal Talents Training Academy (HKILTTA), concluded in Hong Kong last month. Focused on company law in this edition, the course provided the participants with a deep understanding of Hong Kong’s company law related topics. Winnie Tam SC, José-Antonio Maurellet SC, Frances Lok SC and Michael Lok from Des Voeux Chambers were invited as Speakers for the course.

Winnie Tam SC joined the Dialogue Session on Roles of Courts and Judges, alongside other esteemed speakers, sharing her perspectives on judicial roles and the functioning of courts in the common law system. The session fostered engaging discussions and interactive exchanges with the Mainland judges.

José‑Antonio Maurellet SC and Michael Lok co-delivered a lecture on Company Structure: Directors. The session combined theoretical discussion with practical insights, highlighting the key aspects and legal considerations of directors under Hong Kong company law.

Frances Lok SC delivered a lecture on Company Structure: Shareholders. The comprehensive lecture discussed corporate governance, share allotment, anti-dilution provisions, derivative actions and the doctrine of piercing of the corporate veil. The 3-hour intensive lecture was concluded by a lively discussion following insightful questions raised by the participants.

The training cohort comprised 24 senior judges from 22 courts across the Chinese Mainland, including the Supreme People’s Court and Courts from 12 provinces as well as 3 direct-administered municipalities. By fostering dialogue in judicial capacity building between Hong Kong and Mainland, the course strengthened professional exchange and enhanced the participants’ appreciation of Hong Kong company law and broader common law principles.
